(OTC: HYSR), in an offering of up to $25,000,000 of common stock. Under the transaction, SunHydrogen may sell, from time to time at its discretion, up to $25,000,000 of common stock to an investor under a purchase agreement. The offering of the shares is registered on a shelf registration statement on Form S-3.
