Huan Lou is a Partner in the firm’s Corporate and Securities practice group, focusing on securities law, corporate finance and mergers and acquisitions. Ms. Lou represents public and privately-held companies in a wide range of corporate transactions, including public offerings (initial and follow-on offerings), equity and debt private placements, mergers and acquisitions, and divestures. In addition, Ms. Lou represents special purposes acquisition companies (SPACs) and operating target companies regarding their business combination transactions and related financings. Furthermore, Ms. Lou assists business entities of various industries on general corporate matters and transactions, such as asset (stock) purchase agreements, employment agreements, shareholder (partnership or operating) agreements, shareholder and board meetings.
Ms. Lou is fluent in Chinese (Mandarin).
Ms. Lou has received a J.D. (cum laude) from the University of Minnesota Law School where she was an article editor for Minnesota Journal of International Law. Ms. Lou received a B.A. and a B.S. from Peking University.
Ms. Lou is admitted to practice in the state of New York and the state of Minnesota.
