Mr. Manno’s practice focuses on corporate and securities law. He regularly represents domestic and international companies in capital raising transactions, including private placements, initial public offerings, follow-own public offerings, and shelf takedowns. He advises companies regarding their NYSE or Nasdaq initial listing and post-listing compliance. He represents companies in connection with the public offerings of special purpose acquisition companies (SPACs) and the merger and acquisitions of SPACS. He regularly represents investment banks in capital raising transactions. He also counsels public companies on their ongoing securities law compliance and assists them with the preparation of Securities and Exchange Commission filings, including registration statements on Forms S-1, F-1, S-3 and S-4, proxy statements, and Forms 10-K, 20-F, 10-Q and 8-K. He regularly represents investment banks in connection with capital raising transactions.
Mr. Manno received his Juris Doctorate, with distinction, from the Maurice A. Deane School of Law at Hofstra University and received a B.B.A. in management from Hofstra University.
Mr. Manno is admitted to practice law in New York and New Jersey.
